PROMOTION DESCRIPTION AND TIMING: The Ford Training Team Reward Program Challenge (”Promotion” or “Sweepstakes”) begins at 12:00 AM Eastern Time (“ET”) on 6/30/11 and ends at 11:59 PM ET on 7/30/11 (the “Promotion Period”).

SPONSOR: Ford Motor Company, One American Road, Dearborn, MI 48126.

ADMINISTRATOR: Exposure Marketing & Promotion, Inc., 1000 North Opdyke Rd, Auburn Hills, MI 48326.

ELIGIBILITY: The Promotion is open only to legal residents of the fifty (50) United States and District of Columbia (U.S.) who are eighteen (18) years of age or older as of date of entry (“Entrant”).  Promotion is subject to all applicable federal, state and/or local laws and regulations. Promotion is void in Puerto Rico, and U.S. Territories and jurisdictions (including overseas military installations) and where prohibited.

AGREEMENT TO THE OFFICIAL RULES: By participating in the Promotion, each Entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor and the Administrator, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein.

HOW TO ENTER: There are three (3) ways to enter the Promotion:

1) ONLINE – To receive one (1) Entry, visit www.fordtrainingteam.com (the “Website”), click on the link to join the Ford Training Team, complete the online entry form, agree to these Official Rules and submit as directed (“Entry”). As part of Entry, you must choose one (1) or more Challenges to complete; for more information regarding Challenges, see “Complete a Challenge” below. In order to participate via the other entry methods (“Share Your Challenge” and “Complete A Challenge,” as set forth below), you must first enter online. ALL ONLINE ENTRIES MUST BE SUBMITTED BY 11:59 PM ET on 7/30/11. Limit: One (1) Entry per person or email address via the Online Entry method throughout the Promotion Period. In the event more than one (1) Entry is received from any one person or email address during the Promotion Period, the first Entry processed will be considered the only valid Entry received. In the event of a dispute, online Entries will be deemed made by the authorized account holder of the email address submitted at the time of Entry. The authorized account holder is the natural person who is assigned to the email address by an internet access provider, online service provider, or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address. Any potential winner may be required to show proof of being the authorized account holder.

2) SHARE YOUR CHALLENGE – To receive additional Entries, share your Challenge by posting your progress (that is, something significant you are doing toward achieving the Challenge) on your social networking sites. Post must be relevant to the Challenge theme as well as being your ORIGINAL work and not violating the rights of any third party person or entity. Person “sharing” Challenge must be same person who entered online via Step 1 (above). Each qualifying post will result in receipt of one (1) Entry (Sponsor or its agent will review posts and determine in their sole discretion which posts  qualify and will result in the receipt of an additional Entry). If the same post is used multiple times by the same Entrant, only one (1) additional Entry will be received by such Entrant. There is no limit to the number of Entries an Entrant can receive via this entry method.

3) COMPLETE A CHALLENGE – During the Promotion Period, one (1) athletic Challenges will be posted on the Website. Entrants will receive five (5) Entries for completing the Challenge and confirm that they completed, on the Website. Person completing a Challenge must be the same person who entered online via Step 1 and “shared” Challenge as per Step 2 (if applicable); see above. Before undertaking any athletic activity, it is strongly recommended that you consult with your physician or health care professional to confirm that you are able to perform the activity without a strong risk of incurring physical, physiological, neurological, bodily or other injury. IF YOU ARE IN ANY WAY UNCERTAIN AS TO YOUR ABILITY TO PERFORM AN ATHLETIC ACTIVITY WITHOUT INCURRING INJURY, DO NOT PARTICIPATE IN THE SWEEPSTAKES. BY PARTICIPATING IN THE SWEEPSTAKES, YOU ASSUME ALL RISK OF INJURY FROM PERFORMING THE ATHLETIC ACTIVITY AS WELL AS INDEMNIFYING AND RELEASING SPONSOR AND ADMINISTRATOR FROM THE RISK OF INJURY OR OTHER ADVERSE CONSEQUENCE FROM PERFORMING ATHLETIC ACTIVITY OR PARTICIPATING IN THE SWEEPSTAKES. Entrants will only receive Entries for completing a particular Challenge one (1) time during the Promotion Period; if the same Challenge is completed multiple times, no additional Entries will be received. Limit: Five (5) Entries per person or email address for Completed Challenge throughout the Promotion Period.

WINNER SELECTION AND VERIFICATION: First Prizes – Twenty-five (25) First Prizes will be awarded in a random drawing conducted on or about 8/15/11 from among all eligible Entries received during the Promotion Period. Odds of winning First Prize depend on the number of eligible Entries received regardless of method of Entry. Drawing and winner verification will be conducted by Administrator, an independent judging organization. Potential winners will be contacted by the Administrator by telephone and email and may be required to complete and return an Affidavit of Eligibility and Liability Release and except where prohibited by law, a Publicity Release Form (“Affidavit/Release”) within five (5) days of receipt. Failure to timely execute and return any required documents may cause prize to be forfeited without Sponsor or Administrator having any liability to such individual, with the prize in question being awarded to an alternate potential winner to be selected by following the procedure set forth above (discounting disqualified potential winner).

PRIZES / APPROXIMATE RETAIL VALUE (ARV): Twenty-five (25) First Prizes – Ten (10) K-Swiss Blade- Light Run Shoes (ARV $105/ea) and Fifteen (15) TimexZone Trainer Heart Rate Monitors (ARV $63/ea)  Prizes are merchandise items to be determined by Sponsor in its sole discretion. The total ARV of all prizes is $1,995.

GENERAL PRIZE RESTRICTIONS: Prizes may not be transferred nor assigned. No cash or other substitution may be made, except by the Sponsor, who reserves the right to substitute the prize in whole or in part with another prize of comparable or greater value if intended prize is not available for any reason as determined by the Sponsor in its sole discretion. Winners will be solely responsible for all applicable taxes (not limited to federal, state, local and/or income) and will be required to provide his/her Social Security number or tax ID for tax reporting purposes as Sponsor will file an IRS Form 1099 with the Internal Revenue Service for the fair market value of any prize which is $600 or more in value (if applicable). In the event that any potential winner is disqualified for any reason, that prize will be forfeited and awarded to an alternate. Limit of one (1) Challenge Prize OR Random Prize per person/family/household/email address.

GENERAL CONDITIONS / RELEASE: By participating, Entrants (a) release Sponsor, Administrator, their respective directors, officers, agents and employees from any and all liability for any claims, costs, injuries, losses or damages of any kind caused by their participation in the Sweepstakes, including any injury related, directly or indirectly, in whole or in part, to completing a Challenge, the unauthorized or illegal access to personally identifiable or sensitive information or the acceptance, possession, use, or misuse of any prize; and (b) acknowledge that said parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, expressed or implied, in fact or in law, relative to a prize including, but not limited to, prize quality or availability. Neither Sponsor nor any service providers (including Administrator) are responsible for incorrect or inaccurate transcription of Entry information, or for any human or other error, technical malfunctions, lost/delayed data or voice transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software, inability to access any online service or Website, or any other error or malfunction, or late, lost, misdirected, illegible/garbled, incomplete or damaged entries, or any injury or damage to participant’s or any other person’s computer related to or resulting from participation in this Promotion. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE, TAMPER WITH THE ENTRY PROCESS, OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION OR DEFRAUD SPONSOR OR ADMINISTRATOR IN ANY WAY (INCLUDING KNOWINGLY PROVIDING FALSE OR INCOMPLETE INFORMATION REGARDING THE COMPLETION OF CHALLENGES) MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO COOPERATE IN THE PROSECUTION OF ANY SUCH INDIVIDUAL(S) AND TO PURSUE ALL REMEDIES TO THE FULLEST EXTENT PERMITTED BY LAW. Such remedies are in addition to disqualification of individual believed to be engaging in such activities (as applicable). Sponsor’s/Administrator’s failure to enforce any provision of these Official Rules shall not constitute a waiver of that provision. If for any reason the Promotion is not capable of being executed as planned, or infection by computer virus, bugs, tampering, unauthorized intervention, fraud, action of Entrants, technical failures or any other causes which in the opinion of  Sponsor (or its agency), corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Promotion, Sponsor reserves the right at its sole discretion to disqualify any suspect Entry or Entrant and to cancel, terminate, modify or suspend the Promotion. In the event of any cancellation, termination or suspension, notice thereof will be posted at www.fordtrainingteam.com and the determination of the winners will be made in a manner deemed by Sponsor in its sole discretion to be fair, appropriate and consistent with these Official Rules. Entries not complying with all rules are subject to disqualification.

GOVERNING LAW/JURISDICTION/DISPUTE RESOLUTION: Entrants agree that (a) any and all disputes, claims and causes of action arising out of, or connected with, the Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan or the appropriate Michigan State Court located in Oakland County, Michigan; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion but in no event attorneys’ fees; and (c) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to, claim punitive, incidental and consequential damages and any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Entrant's rights and obligations, or the rights and obligations of the Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of State of Michigan, without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than State of Michigan.
